1. Agreement to Terms

By accessing or using the GrowWithOtter website at growwithotter.com ("Site") and services provided by Otter Technologies ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree, please do not use our Site or services.

2. Services

GrowWithOtter provides AI-powered business solutions, custom software development, website design, and technology integration services. The specific scope, deliverables, timeline, and pricing for any project will be outlined in a separate project agreement or statement of work between you and the Company.

3. AI Audit

The AI audit is a paid discovery service priced at $500. The audit fee is fully credited toward any project you choose to move forward with. The audit includes a working session and a written recommendation deck. The audit does not obligate you to engage us for further services.

4. Project Agreements

All project work is governed by a separate project agreement that will detail the scope of work, deliverables, timeline, payment terms, and intellectual property provisions. These Terms of Service apply in addition to any project agreement. In the event of a conflict, the project agreement will govern.

5. Care Plans

Our projects include ongoing monthly care plans that cover hosting, monitoring, maintenance, and support. Care plan pricing, inclusions, and terms will be specified in your project agreement. Care plans renew monthly and may be cancelled with 30 days' written notice.

6. Payment Terms

Payment terms, including deposit requirements, milestone payments, and recurring care plan billing, will be outlined in your project agreement. Late payments may be subject to service suspension after written notice.

7. Intellectual Property

Upon full payment, you will own the custom deliverables created specifically for your project, as outlined in your project agreement. We retain ownership of our proprietary tools, frameworks, and platform infrastructure, including the Otter platform components (OtterSign, OtterText, OtterOrder) used in your project.

8. Use of the Site

You agree not to:

• Use the Site for any unlawful purpose
• Attempt to gain unauthorized access to any part of the Site
• Interfere with or disrupt the Site's operation
• Copy, reproduce, or distribute Site content without permission
• Use automated tools to scrape or collect data from the Site

9. Disclaimer of Warranties

The Site and services are provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the Site will be uninterrupted, error-free, or free of harmful components. We make no warranties regarding the results that may be obtained from the use of our services.

10. Limitation of Liability

To the maximum extent permitted by law, Otter Technologies and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Site or services. Our total liability for any claim shall not exceed the amount you paid to us for the specific service giving rise to the claim.

11. Indemnification

You agree to indemnify and hold harmless Otter Technologies from any claims, damages, losses, or expenses arising from your use of the Site or violation of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Ada County, Idaho.

13. SMS and Email Communications

By opting in to receive SMS or email marketing communications through our forms, you consent to receiving messages as described in our Privacy Policy. You may opt out at any time. Consent is not a condition of service.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted to this page. Your continued use of the Site after changes constitutes acceptance of the revised Terms.
